The Rector and Vestry are the legal representatives of the parish with regard to all matters pertaining to its corporate property. According to St. Francis by the Sea's By-Laws, a three member-at-large class is elected at the Annual Meeting. From among the members-at-large, the parish votes for the Senior and Junior Warden position annually. The parish also votes for the Clerk and Treasurer annually. They are not necessarily members-at-large. 

 

"The presiding officer of the vestry is the rector. There are usually two wardens: The senior warden  and the junior warden treasurer and secretary. The basic responsibilities of the vestry are to help define and articulate the mission of the congregation; to support the church’s mission by word and deed, to select the rector, to ensure effective organization and planning, and to manage resources and finances."    A definition of the Vestry from An Episcopal Dictionary of the Church.
